Merchant Terms of Service

These Merchant Terms of Service (“Merchant Terms”) govern your use of the Let's Get Food merchant app, dashboard, and related tools (the “Merchant Services”) as a food or event business (“Merchant”, “you”) listing services on our marketplace. By creating a merchant account, you agree to these Merchant Terms in addition to any applicable Master Services Agreement.

1. Our role as a marketplace

Let's Get Food operates a two-sided marketplace connecting customers with independent Merchants. We are not a party to the underlying catering/event contract between you and the customer; you are solely responsible for fulfilling orders you accept. We provide discovery, quoting/booking tools, payment processing (via Stripe Connect), notifications, and customer support facilitation.

2. Listing & catalog accuracy

  • You are responsible for the accuracy of your menu, packages, pricing, photos, availability, and dietary/allergen information.
  • You must maintain valid business registration, food-safety certifications, and insurance documentation as required by your jurisdiction, and provide these to us upon request for compliance verification.
  • You must promptly update your listings to reflect current pricing, availability, and any changes to ingredients or allergens.

3. Payments & payouts (Stripe Connect)

  • Customer payments are processed through Stripe Connect. You must complete Stripe's onboarding (including identity verification) before receiving payouts.
  • Payouts are made to your connected Stripe account, net of the platform fee/commission described in your merchant plan or as otherwise agreed in writing.
  • Platform fees and commission rates are disclosed in your merchant dashboard and/or plan agreement and may vary by plan tier; changes to fees will be communicated in advance.
  • You are responsible for your own tax obligations (e.g., GST/HST collection and remittance) arising from orders fulfilled through the Services.

4. Order fulfillment obligations

  • You must accept, confirm, or decline booking and quote requests in a timely manner.
  • You must fulfill confirmed orders as described, on the agreed date, and in compliance with applicable food-safety law.
  • If you cannot fulfill a confirmed order, you must notify the customer and our support team as soon as possible so we can assist with resolution, which may include a refund per our Refund & Cancellation Policy.

5. POS & integrations

If you connect a point-of-sale (POS) or other third-party system, you authorize us to exchange the data necessary to keep menus, orders, and availability in sync. You are responsible for the accuracy of data provided by your POS integration and for maintaining valid API credentials/tokens.

6. Fees & commission

Fees and commission structures depend on your selected merchant plan and are disclosed in-app before you subscribe or accept a plan change. [Placeholder — exact commission tiers to be finalized with pricing/legal before GA.]

7. Reviews & reputation

Customers may leave reviews and ratings for completed orders. You may not offer incentives in exchange for positive reviews or manipulate reviews in any way.

8. Suspension & termination

  • We may suspend or terminate your merchant account for violations of these Merchant Terms, our Acceptable Use Policy, failure to maintain required compliance documentation, or repeated failure to fulfill confirmed orders.
  • You may close your merchant account at any time via your dashboard's account settings or by contacting support; outstanding payouts will be processed per Stripe Connect's standard payout schedule.

9. Liability

You are solely responsible for the food safety, quality, and legality of goods and services you provide. To the maximum extent permitted by law, Let's Get Food's aggregate liability to you is limited to the platform fees you paid us in the three (3) months preceding the claim.

10. Governing law

These Merchant Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

11. Changes to these Merchant Terms

We may update these Merchant Terms from time to time, with advance notice for material changes affecting fees or fulfillment obligations.
